Services Policy

Terms governing Yanisa's professional, growth, technology, media, and coworking services

Introduction & Overview

This Services Policy (the "Policy") governs services provided by Yanisa Execution Private Limited ("Yanisa," "we," "us," or "our") through or in connection with https://yanisa.in (the "Website"). By accepting a proposal, Statement of Work, order form, membership plan, service agreement, or invoice; making a payment; or instructing Yanisa to begin work, the person or organisation receiving the services ("Client," "you," or "your") agrees to this Policy. If you accept this Policy on behalf of an organisation, you confirm that you are authorised to bind that organisation.

1. Purpose and Application

This Policy applies to professional, technology, growth, media, consulting, implementation, managed, membership, coworking, and related services supplied by Yanisa. The specific services, deliverables, timelines, fees, milestones, service levels, dependencies, and other commercial terms for an engagement will be set out in one or more written documents, which may include a proposal, Statement of Work ("SOW"), order form, service agreement, retainer agreement, membership plan, booking confirmation, invoice, or written change request (each an "Engagement Document"). This Policy does not replace any non-waivable rights or remedies available under applicable law. If you engage Yanisa as a consumer, any mandatory consumer protections continue to apply.

2. Order of Precedence

If there is a conflict between documents governing an engagement, the following order will apply unless an Engagement Document expressly states otherwise:

  • 1. A signed service agreement or partnership agreement;
  • 2. The applicable accepted proposal, SOW, order form, or written change request;
  • 3. This Services Policy;
  • 4. The Website Terms and Conditions and other general Website policies; and
  • 5. The applicable invoice or other Engagement Document.

Scope of Control

An Engagement Document controls only the engagement to which it relates. A change to one engagement does not change any other engagement.

3. Services Covered

Yanisa may provide services through the following service lines. The availability and precise scope of any service depend on the applicable Engagement Document.

3.1 Yanisa GaaS - Growth as a Service

Growth and revenue execution services may include:

  • Business, go-to-market, positioning, category, and pricing strategy;
  • Ideal customer profile development, market research, and demand generation;
  • Sales hiring support, training, playbooks, scripts, pipeline management, and sales operations;
  • CRM setup, revenue operations, workflow automation, reporting, and dashboards;
  • Lead generation, outreach, lead nurturing, appointment setting, and customer engagement;
  • Marketing operations, campaign execution, content strategy, and distribution;
  • Collections support, margin reporting, unit-economics analysis, and operational finance workflows;
  • Customer retention, feedback, customer-success automation, upsell, and expansion systems;
  • Fractional leadership, embedded execution teams, and related implementation support; and
  • Other growth or execution modules agreed in writing.

3.2 Yanisa Tech

Technology and AI infrastructure services may include:

  • Websites, landing pages, web applications, mobile applications, and software products;
  • CRM, customer systems, internal business systems, dashboards, and data workflows;
  • No-code, low-code, and custom software development;
  • AI agents, AI-assisted workflows, voice agents, and automation systems;
  • API, payment, communication, analytics, marketing, and third-party platform integrations;
  • Cloud, data, reporting, and integration layers;
  • Physical AI, device, sensor, hardware, or real-world system integrations;
  • Testing, deployment, migration, technical documentation, and training; and
  • Support, maintenance, optimisation, and managed technology services.

3.3 Yanisa Media

Media and authority-building services may include:

  • Content strategy, research, scripting, creative direction, and production planning;
  • Podcast, video, audio, photography, studio, and post-production services;
  • Short-form and long-form content, reels, carousels, articles, newsletters, and social content;
  • Personal-brand and founder-led media systems;
  • AI-assisted media, avatars, synthetic voice, voice cloning, and content repurposing;
  • Publishing, distribution, channel management, analytics, and optimisation;
  • Content funnels, lead-generation assets, and inbound systems; and
  • Collaborations, campaigns, events, and other agreed media services.

3.4 Yanisa Coworking

Coworking services may include workspace access, dedicated desks, cabin seating, meeting facilities, internet access, community events, and related amenities. Coworking is a licence to use the specified facilities; it does not create a lease, tenancy, easement, or other interest in real property. Coworking services may also be governed by the applicable membership plan, booking confirmation, house rules, safety rules, access conditions, and location-specific terms. Those terms may address operating hours, deposits, notice periods, guests, security, prohibited activities, property damage, parking, internet usage, events, and business-address usage.

3.5 Additional Services

Yanisa may offer additional services if they are described in an Engagement Document. Descriptions on the Website are general summaries and do not create a binding obligation to supply every listed feature.

4. Formation of an Engagement

An engagement becomes binding when the first of the following occurs:

  • Both parties sign an Engagement Document;
  • You accept an Engagement Document by email or another recorded written method;
  • You pay an advance, deposit, retainer, subscription, membership, or invoice for the services; or
  • You instruct Yanisa to begin and Yanisa confirms or begins performance.

Validity of Quotations

Quotations and proposals remain open only for the stated validity period. If no validity period is stated, Yanisa may withdraw or revise them before acceptance.

5. Scope, Deliverables, and Exclusions

5.1 Agreed Scope

Yanisa will provide only the services and deliverables expressly included in the applicable Engagement Document. Examples, presentations, discussions, demonstrations, mock-ups, estimates, or Website descriptions are not part of the contracted scope unless incorporated into an Engagement Document.

5.2 Exclusions

Unless expressly included, the following are excluded:

  • Third-party licences, subscriptions, media spend, hosting, domains, devices, travel, talent, locations, printing, and production expenses;
  • Legal, tax, accounting, audit, investment, employment, regulatory, or certification services;
  • Data entry, migration, cleaning, tagging, or remediation beyond the stated volume or format;
  • Support, maintenance, updates, monitoring, or content publishing after the agreed delivery or support period;
  • Source files, editable production files, source code, design systems, raw footage, training data, or internal working papers;
  • Additional concepts, pages, integrations, platforms, campaigns, languages, formats, users, or revision rounds; and
  • Work caused by changes to your systems or to third-party platforms after approval or delivery.

5.3 Change Control

Either party may propose a scope change. No scope change is binding until its effect on fees, timing, resources, assumptions, and deliverables is approved in writing by authorised representatives of both parties. Yanisa may pause affected work while a change request is being evaluated. If you request or cause work outside scope, Yanisa may charge for it at an agreed rate or issue a revised Engagement Document.

6. Client Responsibilities and Dependencies

You will:

  • Provide accurate, complete, lawful, and timely information, content, data, access, approvals, feedback, and decisions;
  • Appoint a person authorised to provide instructions and approvals;
  • Obtain all licences, notices, permissions, releases, consents, and legal bases needed for materials and data you supply;
  • Maintain suitable accounts, systems, infrastructure, backups, security, and third-party subscriptions unless Yanisa is expressly responsible for them;
  • Review deliverables and AI-assisted outputs before publication, deployment, distribution, or business use;
  • Ensure that your products, services, claims, offers, promotions, and instructions comply with applicable law and platform rules; and
  • Cooperate reasonably with Yanisa and its authorised personnel.

Impact of Client Delay

Yanisa is not responsible for delay, rework, additional cost, or failure caused by incomplete or late Client dependencies, inaccurate instructions, unauthorised materials, or third-party systems. Relevant dates will be extended by at least the period of Client-caused delay and may be rescheduled according to resource availability.

7. Project Management and Communications

Each party may appoint a single point of contact. Instructions, approvals, and decisions from a nominated contact may be relied upon as authorised unless the other party is notified otherwise in writing. Yanisa may use email, project-management tools, messaging applications, CRM systems, recorded meetings, dashboards, and other reasonable channels to manage the engagement. Meeting notes and written status updates may be used to record decisions, dependencies, risks, and action items.

8. Timelines and Milestones

Dates are estimates unless an Engagement Document identifies them as fixed deadlines. Timelines depend on timely Client cooperation, third-party availability, technical feasibility, approvals, and payment. Yanisa may deliver work in phases or milestones. A delay in one phase may affect later phases. Yanisa will use commercially reasonable efforts to notify you of a material delay and provide an updated estimate.

9. Review, Revisions, and Acceptance

9.1 Review Period

You must review a deliverable within the period stated in the Engagement Document. If no period is stated, business Clients must notify Yanisa of any material non-conformity within seven business days after delivery.

9.2 Valid Rejection

A rejection must be in writing and describe how the deliverable materially fails to meet an express requirement of the Engagement Document. Preferences, new requirements, a change in strategy, or matters outside the agreed scope do not constitute non-conformity. Yanisa will use reasonable efforts to correct a valid non-conformity. Additional or out-of-scope revisions may be chargeable.

9.3 Acceptance

For business Clients, a deliverable is accepted on the earliest of:

  • Written approval;
  • Publication, launch, deployment, distribution, or commercial use;
  • Payment of the milestone or final invoice without a documented dispute; or
  • Expiry of the review period without a valid written rejection.

10. Fees, Expenses, and Taxes

Fees may be fixed, milestone-based, recurring, usage-based, time-and-materials, performance-linked, revenue-linked, membership-based, or a combination, as stated in the Engagement Document. Unless expressly stated otherwise:

  • All fees are quoted in Indian Rupees;
  • Fees exclude GST and other applicable taxes;
  • You are responsible for approved third-party costs and reasonable out-of-pocket expenses;
  • Advance payments may be required before work, access, procurement, or resource allocation begins; and
  • You are responsible for any legally required withholding, while providing the applicable withholding certificate within the statutory period.

11. Invoicing, Payment, and Disputes

Invoices are payable by the date stated on the invoice or Engagement Document. If no due date is stated, payment is due within seven calendar days of the invoice date. You must raise a good-faith invoice dispute in writing within seven calendar days of receipt, identifying the disputed amount and basis. Undisputed amounts remain payable on time. Subject to applicable law, overdue undisputed amounts may accrue interest at 1.5% per month or the maximum lawful rate, whichever is lower. Yanisa may also suspend services, access, deliverables, publishing, support, or licences after reasonable notice while an undisputed payment remains overdue.

12. Retainers, Subscriptions, Memberships, and Renewals

Recurring services are billed in advance unless the Engagement Document states otherwise. The Engagement Document will specify any minimum commitment, billing cycle, renewal mechanism, notice period, usage limit, rollover rule, or deposit. Automatic renewal applies only where it is clearly disclosed and accepted. Yanisa will not treat silence as renewal where applicable law requires affirmative consent. Unused time, capacity, deliverables, access, or benefits do not roll over unless the applicable Engagement Document expressly permits rollover.

13. Cancellation and Refunds

The Website Return and Refund Policy is incorporated by reference except where an Engagement Document or this Policy more specifically addresses services. Unless an Engagement Document states otherwise:

  • Before work starts, you may request cancellation and Yanisa will return amounts not already earned, allocated, or irreversibly committed, after deducting disclosed non-cancellable third-party costs;
  • After work starts or resources are allocated, fees for completed work, allocated capacity, approved expenses, and non-cancellable commitments are non-refundable;
  • Deposits expressly identified as non-refundable remain non-refundable to the extent permitted by law;
  • Recurring fees already charged for a current billing period are non-refundable, but cancellation will prevent the next renewal where notice is given on time;
  • Event, studio, production, and coworking cancellations are subject to their booking or membership terms; and
  • Where Yanisa materially fails to provide an agreed service and does not cure the failure within a reasonable period after written notice, you may be entitled to a proportionate refund for the undelivered portion, subject to the Engagement Document and applicable law.

14. Performance, Outcomes, and Marketing Metrics

Yanisa provides execution, systems, content, technology, and professional support but does not guarantee leads, sales, revenue, profit, fundraising, reach, engagement, search rankings, platform approval, uptime, cost savings, conversion rates, or any other business outcome unless a specific guarantee and remedy are expressly stated in a signed Engagement Document. Business outcomes depend on factors outside Yanisa's control, including your offer, pricing, market conditions, sales response, product quality, customer demand, budgets, approvals, team capacity, platform algorithms, and third-party systems. Case studies, testimonials, projections, timelines, benchmark figures, pipeline figures, and performance statements on the Website or in marketing materials illustrate past results or reasonable targets. They are not promises that every Client will achieve the same result.

15. Third-Party Services and Platforms

Services may depend on third-party products such as cloud platforms, AI models, hosting providers, software tools, social networks, advertising platforms, payment processors, CRM systems, communications services, stock-media libraries, or hardware suppliers. Your use of a third-party service may be governed by that provider's terms, policies, pricing, and availability. Yanisa does not control and is not responsible for third-party outages, policy changes, account suspensions, pricing changes, data loss, security incidents, API changes, algorithm changes, or discontinued features, except to the extent directly caused by Yanisa's breach or negligence.

16. AI-Assisted Services

Yanisa may use AI-assisted tools in research, analysis, automation, development, customer engagement, content production, editing, reporting, forecasting, or workflow delivery. AI output may contain errors, omissions, bias, similarity to existing material, or unexpected results. Yanisa will apply the level of human review agreed for the engagement, but you remain responsible for final business, legal, financial, publication, hiring, credit, medical, safety, and other high-impact decisions. Yanisa will not knowingly submit Client Confidential Information or personal data to a public AI tool contrary to an agreed data-handling requirement.

17. Data Protection and Security

Each party will process personal data in accordance with applicable data-protection law and the role allocated to it. Yanisa's Privacy Policy applies to personal data for which Yanisa determines the purpose and means of processing. Where Yanisa processes personal data solely on your documented instructions, the parties may enter into a data-processing addendum covering categories of data, purpose, duration, security, subprocessors, deletion, and assistance obligations. You must not provide sensitive, regulated, or high-risk data unless its use is expressly agreed in writing and appropriate safeguards are in place.

18. Confidentiality

"Confidential Information" means non-public business, commercial, technical, financial, security, customer, personnel, product, strategy, pricing, CRM, system, and other information disclosed in connection with an engagement and reasonably understood to be confidential. Each receiving party will:

  • Use Confidential Information only to perform or receive the services and exercise its rights;
  • Protect it using at least reasonable care;
  • Disclose it only to personnel, professional advisers, and authorised subcontractors who need to know it and are subject to confidentiality obligations; and
  • Not disclose it to any other person without prior written permission.

Exceptions & Duration

Confidential Information does not include information that is lawfully known without restriction, becomes public without breach, is independently developed, or is lawfully received from another source. These obligations continue for three years after the engagement ends, except for trade secrets and personal data which remain protected as required by law.

19. Intellectual Property

19.1 Client Materials

You retain ownership of materials, trademarks, data, content, systems, and intellectual property you provide ("Client Materials"). You grant Yanisa and its authorised personnel a limited licence to use Client Materials to provide the services.

19.2 Yanisa Background IP

Yanisa retains ownership of its pre-existing and independently developed intellectual property, including methodologies, know-how, prompts, frameworks, templates, libraries, components, code utilities, workflows, automations, sales playbooks, scripts, training materials, production methods, dashboards, tools, processes, and improvements ("Yanisa Background IP").

19.3 Client Deliverables

Subject to full payment, ownership of final deliverables expressly identified as custom Client-owned deliverables transfers to you upon acceptance, excluding Yanisa Background IP, third-party materials, open-source components, raw working files, and general personnel knowledge.

19.4 Third-Party & Open-Source Materials

Third-party and open-source materials remain subject to their applicable licences. You are responsible for ongoing licence, hosting, model, API, stock-media, font, plugin, or subscription charges unless included in the Engagement Document.

19.5 Portfolio and Publicity

Yanisa will not use your name, logo, non-public results, deliverables, testimonials, or engagement details in a case study, press release, advertisement, or public portfolio without your prior written approval.

20. Media, Content, and Approvals

For content and media engagements:

  • You are responsible for factual claims, required disclosures, offers, testimonials, product statements, and legal or regulatory approvals relating to your business;
  • Content is considered approved when your authorised contact approves it or publishes it;
  • Yanisa may rely on the accuracy and lawfulness of information and materials you supply;
  • Platform moderation, rejection, takedown, reduced reach, demonetisation, or account action is not controlled by Yanisa; and
  • Photography, recordings, likenesses, voices, music, locations, and third-party materials require appropriate permissions and releases.

21. Support, Maintenance, and Service Levels

Support, maintenance, monitoring, response times, resolution targets, uptime targets, and escalation arrangements apply only if stated in an Engagement Document. A response time is not a guaranteed resolution time. Service levels do not apply to Client-caused incidents, third-party failures, scheduled maintenance, force majeure events, unsupported modifications, or use outside documented requirements.

22. Subcontractors and Personnel

Yanisa may use employees, affiliates, specialists, production partners, cloud providers, subprocessors, and subcontractors to deliver the services. Yanisa remains responsible for their performance to the extent required by the applicable Engagement Document and law. Unless expressly agreed, you are purchasing services and outcomes rather than the exclusive time of a named individual.

23. Compliance and Acceptable Use

You must not use the services or instruct Yanisa to:

  • Violate law, court orders, intellectual-property rights, privacy rights, publicity rights, platform rules, or contractual duties;
  • Send unlawful spam, engage in deceptive marketing, impersonation, harassment, discrimination, or fraud;
  • Create or distribute malware or gain unauthorised access to systems, accounts, or data;
  • Process personal data without an appropriate legal basis or required notice;
  • Publish false, misleading, defamatory, obscene, or unlawful material; or
  • Create prohibited synthetic media, deceptive deepfakes, or unauthorised voice or likeness replicas.

24. Warranties and Disclaimers

Yanisa warrants that it will provide the services with reasonable skill and care consistent with generally accepted professional practices for the relevant service. Except for express commitments in an Engagement Document and warranties that cannot lawfully be excluded, services and deliverables are provided "as is" and "as available."

25. Mutual Indemnities

Subject to the applicable Engagement Document and law, each party ("Indemnifying Party") will indemnify the other against third-party claims, damages, and reasonable costs arising from gross negligence, fraud, wilful misconduct, or material breach of confidentiality/IP obligations.

26. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit or revenue. Aggregate liability is capped at the fees paid to Yanisa under the affected Engagement Document in the preceding 12 months.

27. Suspension

Yanisa may suspend all or part of the services on reasonable notice if payment is overdue, required Client dependencies are missing, performance creates security risks, or for material breach.

28. Termination

28.1 Termination for Cause

Either party may terminate an engagement by written notice if the other party materially breaches it and fails to cure the breach within 15 days after written notice.

28.2 Termination for Convenience

Unless an Engagement Document states otherwise, either party may terminate an ongoing monthly service on 30 days' written notice.

28.3 Effects of Termination

On termination, all accrued amounts become due, parties cease using confidential info, and paid deliverables completed through the termination date will be provided.

29. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control (natural disasters, epidemic, war, governmental action, cloud/platform outages). If a force majeure event persists beyond 60 days, either party may terminate affected services.

30. Relationship of the Parties

The parties are independent contractors. References to Yanisa as a growth partner or execution partner are commercial descriptions only and do not create a legal partnership or agency.

31. Dispute Resolution

The parties will first attempt in good faith to resolve disputes through nominated contacts and senior representatives. Unresolved business disputes may proceed to mediation and binding arbitration under the Arbitration and Conciliation Act, 1996 in Mumbai, Maharashtra, India in English.

32. Governing Law and Jurisdiction

This Policy and each engagement are governed by the laws of India. Courts in Mumbai, Maharashtra will have exclusive jurisdiction.

33. Electronic Records and Notices

Electronic signatures, email acceptance, and electronic payment records may be used to evidence an engagement. Formal legal notices to Yanisa may be sent to hi@yanisa.in.

34. Assignment

Neither party may assign an engagement without prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets.

35. General Terms

If any provision is invalid, it will be modified to the minimum extent necessary. A delay in enforcing a right is not a waiver. The Engagement Document together with this Policy forms the entire agreement.

36. Changes to This Policy

Yanisa may update this Policy to reflect changes in services, operations, technology, or law. Revised policies will be posted on the Website with an updated date.
